INSURED PERSONS:

1. Duly elected or appointed directors, trustees or officers.
   
2. Employee, members of duly constituted committees or volunteers of USI or its two foundations within the scope of their duties and on behalf of USI.

WRONGFUL ACT:

1. Any error, misstatement, misleading statement, act, omission, neglect or breach of duty committed or attempted or allegedly committed or attempted by USI or by one or more insured persons.
2. Wrongful act includes:
1. Failure to educate
2. Negligence in instruction
3. Inadequate or negligent academic guidance
4. Improper academic placement or discipline
5. Failure to grant due process
6. Invasion of privacy or humiliation
7. Publication of defamatory material

1. Bodily injury/property damage
2. Mental anguish/emotional distress except for wrongful employment practices

5. Litigation pending prior to 10/18/01
   
6. Claim by USI
   
7. Claim arising out of your capacity as a director (board member) of an outside organization
   
8. E & 0 of work from a non-subsidiary organization
   
9. Breech of contract
   
10. Fraudulent or dishonest act
    
11. Gaining illegal profit
    
12. Loss from for-profit subsidiary
    
13. Damage to tangible property
14. Performing or failing to perform any professional service other than education or teaching
    
15. Copyright/patent infringement
    
16. Worker's compensation
